One Company, Four Offers
A case study, presented by AM&AA New England Chapter Chair Chris Mellen of Valuation Research Corporation, focuses on the pros and cons of four options of selling a business: As part of a business owner’s exit planning, they have been considering either establishing and selling shares to an ESOP for their employees or selling the company in an M&A transaction to an outside third party. In doing so, the business owner hired valuation expert to weigh their options. This resulted in a presentation to the owner on how value could range if sold to two different strategic buyers, a private equity group, or an ESOP. With four very different propositions, what should the business owner do?
