Karl Ahlm focuses his practice on mergers and acquisitions, private equity, financing transactions and general corporate matters. His broad range of experience includes advising and counseling financial sponsors, companies ranging in size from Fortune 500 to lower middle market, financial institutions, individual investors and management teams on a wide range of transactional matters, including:

Mergers & Acquisitions – Representation of public and private entities in domestic and cross-border merger, acquisition and joint venture transactions involving a broad range of asset, stock purchase, merger and JV structures.

Private Equity – Representation of private equity funds in structuring and executing platform and add-on acquisition transactions and equity co-investments. Representation of financial sponsor and management clients in structuring and documenting employment agreements and management incentive arrangements.

Venture Capital – Representation of both venture capital firms and early stage companies in connection with equity financing transactions and related matters.

Finance, Lending & Restructuring – Representation of lenders and borrowers in structuring and documenting senior, mezzanine and subordinated debt documents and intercreditor agreements, as well as out-of-court restructurings and equity kickers. Representation of clients in the purchase and sale of assets in a distressed context, including 363 sales.

Securities – Representation of investors and issuers in connection with securities offering transactions, including initial public offerings and secondary registrations.

General Corporate and Commercial – Representation of both public and private companies in negotiating and documenting distribution, licensing, supply and other commercial arrangements and agreements.
