The AM&AA has long been a proponent of quality education, offering its acclaimed CM&AA credentialing program. The Alliance’s Board encouraged expansion of the education program, resulting in the introduction of the Mergers & Acquisitions Practice Series (MAPS). Last summer at our conference in Chicago, we introduced the first of a series of new programs offered to enhance the existing curricula.
The second program in the Mergers & Acquisitions Practice Series (MAPS) which will be offered directly preceding the Alliance’s 2018 Winter Conference will focus on Transaction Structuring: Critical Issues & Solutions. This track will focus on real “nuts and bolts” structural solutions to close deals in the Middle Market. The program begins with common legal, tax and economic considerations addressed in a variety of circumstances; and how to incorporate effective terms into executable legal documents.
A majority of the Transaction Structuring program will be taught through a case-study method, intended to be interactive and equip participants with enhanced knowledge and useful tools to immediately incorporate into their own practices. We will examine more than 10 actual cases, illustrating a balanced approach to solving challenges encountered in Middle-Market transactions. The instructors bring different expertise in negotiating legal, tax and economic impacts and will demonstrate how a multi-disciplinary approach can balance the implications for both buyers and sellers. Finally, we will address some of the conflicting issues often faced at closing, and how to manage an efficient transition process.

In 2002, Chris successfully transitioned from CPA to M&A Advisor and launched an M&A Advisory firm from inside the CPA practice. Today, BiggsKofford Capital continues to operate as an integrated subsidiary of the CPA firm and has closed hundreds of transactions for both CPA clients and non-clients alike. Chris currently serves as Managing Partner of both BiggsKofford Capital and BiggsKofford CPAs, he is the lead instructor for the Certified M&A Advisor program, and co-author of the Middle Market M&A Handbook. Chris is a Licensed Investment Banker (Series 7 and 79) with Aaron Capital.
Michael S. Roberts is a principal of Roberts McGivney Zagotta LLC. He is also a Certified Public Accountant. Mr. Roberts has extensive experience in corporate transactions, mergers and acquisitions, and private equity and venture capital financing transactions, on both a national and international level. He has represented private and public companies, entrepreneurs, private equity funds, software, technology, manufacturing and retail companies in a wide variety of transactions, including mergers, acquisitions, dispositions, joint ventures, private placements of debt and equity, and financings. He is a frequent guest speaker on topics involving corporate transactions and mergers and acquisitions.
Mr. Shaver has significant experience covering 25+ years advising on transaction structure, private equity investments, due diligence and advanced tax planning for transactions. Prior to joining BVCA, Mr. Shaver was the Transaction Advisory Services Shareholder for several CPA firms and a Managing Director and Securities Principal for mid-market investment banking firms. Mr. Shaver has Series 7, 66, 79 and 24 FINRA Securities licenses.
